How to Register a Business with PACRA in Zambia
The Patents and Companies Registration Agency (PACRA) handles all business and company registrations in Zambia. This guide walks you through the process and shows you which forms you need — with pre-filled samples so you get it right the first time.
1Choose your business structure
Decide whether you are registering a business name (sole proprietor or partnership) or incorporating a private limited company. A business name is cheaper and faster; a company gives you limited liability and is better if you plan to grow or tender.
2Reserve your name
Search the PACRA register to confirm your proposed name is available. Names that are identical or too similar to existing registrations are rejected, so have two or three alternatives ready.
3Fill in the correct form
For a business name you complete Form BN1 (Business Name Registration). For a company you complete the incorporation forms, including the statement of compliance and particulars of directors and secretary. Most rejections happen because of small errors — wrong ID numbers, missing signatures, or inconsistent names.
4Pay the prescribed fees
PACRA fees depend on the type of registration. Payment can be made at PACRA offices or through their online portal where available. Keep your receipt — you will need it to collect your certificate.
5Submit and collect your certificate
Submit the completed forms at a PACRA office or online. Once approved, you receive a Certificate of Registration (business name) or Certificate of Incorporation (company). You can then register for a TPIN with ZRA and open a business bank account.
Common mistakes to avoid
- Names on the form not matching your NRC exactly
- Missing signatures or unsigned declaration pages
- Using an old version of the form
- Wrong business activity description
